1. Agreement
These Terms of Service (“Terms”) form a binding agreement between you (“you” or “Customer”) and Pilon Qubit Ventures, LLC(“Pilon Qubit”, “we”, or “us”) governing your use of our websites, customer dashboards, AI services (including the Sofia AI receptionist), free tools, and any subscriptions (collectively, the “Services”).
By using the Services, you accept these Terms and our Privacy Policy. If you are accepting on behalf of a company, you confirm you have authority to bind that company.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract. The Services are intended for business use; consumer use is permitted only where explicitly offered (for example, the public Free Audit tool).
3. Accounts & Security
- You are responsible for everything that happens under your account.
- Use a strong, unique password. Do not share credentials.
- Notify us immediately if you suspect unauthorized access at Sergio@pilonqubitventures.com.
4. Subscriptions, Fees & Billing
4.1 Plans
Our standard plans are Starter ($299/month), Growth ($599/month), and Pro ($999/month). Custom enterprise pricing is available on request. Pricing shown on the website is in USD and may change with 30 days’ written notice.
4.2 Billing cycle
Subscriptions are billed monthly in advance unless otherwise agreed in writing. Annual prepay options receive a written discount.
4.3 Setup & usage
Standard plans include setup at no extra charge. Custom integrations, voice training, additional Twilio numbers, A2P 10DLC fees, and per-minute carrier costs are passed through at cost or quoted separately. The customer is responsible for their own Twilio, Stripe, and similar third-party account fees when those accounts are owned by the customer.
4.4 Late payment
Invoices are due upon receipt. Past-due balances accrue interest at the lesser of 1.5% per month or the maximum permitted by law. We may suspend the Services for any account 15+ days past due, after written notice.
4.5 Refunds
Monthly subscriptions are non-refundable for the current period. If you cancel, the Services remain active until the end of the paid period. If we materially fail to deliver and do not cure within 14 days of written notice, we will refund the unused portion of the current period.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful, harassing, deceptive, or abusive activity.
- Place outbound calls or send messages that violate the TCPA, CAN-SPAM, or any “do not call” registry.
- Upload malware, attempt to exploit vulnerabilities, or interfere with our systems.
- Resell the Services or build a competing product on top of them.
- Reverse engineer the Services except where expressly permitted by applicable law.
- Use the Services to make decisions with significant legal effect on individuals (employment, lending, housing, insurance) without independent human review.
6. AI Output
Our AI features generate suggestions, drafts, and conversational responses. Output may be incorrect, biased, or out of date. You are responsible for reviewing and validating AI output before relying on it.Sofia, our AI receptionist, is identified as a non-human assistant; we do not impersonate humans. If a caller asks “are you a real person?”, Sofia will say no.
7. Customer Content & License
You retain all ownership of the data, files, recordings, and content you provide to us (“Customer Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process Customer Content as needed to deliver the Services. We do not claim ownership over your content, and we do not train external AI models on it.
8. Our Intellectual Property
The Services, including software, designs, prompts, system prompts, model configurations, dashboards, and documentation, are the exclusive property of Pilon Qubit Ventures, LLC and our licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription. We reserve all other rights.
9. Confidentiality
Each party will protect the other’s confidential information with at least the same care it uses for its own (and no less than reasonable care). Confidential information may be disclosed only as required to perform under this agreement or by law.
10. Service Levels & Support
We target 99.5% monthly uptime for the customer dashboard and Sofia voice services, excluding scheduled maintenance and force majeure events. Email support is included on all plans; priority support and dedicated account management are included on Growth and Pro respectively.
11. Termination
- By you. Cancel any time from the dashboard or by email. Cancellation is effective at the end of the current billing period.
- By us. We may suspend or terminate for non-payment, breach of these Terms, or activity that creates legal or security risk. We will provide notice when possible.
- Effect. On termination, your access ends. We will provide an export of Customer Content for 30 days. After 30 days, we may delete your data per our retention schedule.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT AI OUTPUT WILL BE ACCURATE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. EACH PARTY’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE BY CUSTOMER TO PILON QUBIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
These limits do not apply to (a) breaches of confidentiality, (b) infringement of intellectual property, (c) indemnification obligations, or (d) gross negligence or willful misconduct.
14. Indemnification
You will defend, indemnify, and hold us harmless from claims arising out of (a) your Customer Content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in Bexar County, Texas, and the parties consent to personal jurisdiction there.
Before filing suit, the parties agree to attempt good-faith resolution by written notice to legal@pilonqubitventures.com followed by a 30-day cure period.
16. Changes to Terms
We may update these Terms by posting a revised version with a new effective date and emailing active customers. Continued use of the Services after the effective date constitutes acceptance.
17. Miscellaneous
- Assignment. You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party is liable for delays caused by events outside its reasonable control.
- Entire Agreement. These Terms (together with any ordering document and the Privacy Policy) are the entire agreement.
- Severability. If any clause is held unenforceable, the remainder stays in force.
